1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Metavault Blockchain Ltd ("Metavault", "we", "us", "our"), a company registered in the United Arab Emirates. By downloading, installing, registering for, or using the Quick Off Super App, Meta Park platform, or any related services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease use of the Services and uninstall any related applications. We reserve the right to modify these Terms at any time. Continued use of the Services following notification of changes constitutes your acceptance of the revised Terms.

2. Eligibility

• You must be at least 18 years of age to use the Services
• You must have the legal capacity to enter into a binding agreement in your jurisdiction
• By using the Services, you represent and warrant that all of the above conditions are met

3. Account Registration

To access the Services, you must register an account and provide accurate, complete, and current information including a valid email address or phone number. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account at director@metavaultpay.com.

4. Quick Off Super App Services

4.1 E-Commerce Marketplace

Quick Off's marketplace connects buyers with merchants globally. We act as a platform facilitator and are not a party to transactions between users and merchants. Merchants are independently responsible for the accuracy of product listings, pricing, and fulfilment. Disputes between buyers and merchants should be reported to our support team.

4.2 Healthcare Hub

The Healthcare Hub provides an AI health monitoring system, hospital booking, doctor appointment scheduling, and live video consultation services. Important: AI health monitoring features are informational tools only and do not constitute medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical decisions. Healthcare providers accessed through Quick Off are independent professionals; Metavault is not liable for their advice or services.

4.3 Education Platform

The Education Platform provides AI-powered counseling and a global college discovery service. University and college listings are provided for informational purposes. Metavault does not guarantee admission outcomes or institutional accreditation. Users are responsible for verifying institution credentials independently.

4.4 Travel and Hospitality

Travel services including flight bookings, resort reservations, and travel packages are facilitated through third-party providers. Metavault is not responsible for cancellations, delays, or service failures by airlines, hotels, or travel operators. Refund and cancellation policies are governed by the respective service provider's terms.

5. Meta Park Platform

Meta Park is a virtual tourism and immersive experiences platform. By using Meta Park, you agree that:

• Virtual land, digital assets, and in-platform experiences are digital goods with no guaranteed real-world monetary value
• Purchases of virtual land and digital assets are final unless otherwise stated
• You will not use Meta Park to engage in fraud or any illegal activity
• Interactive gaming and virtual environments must be used in accordance with our Community Guidelines
• Metavault reserves the right to modify, suspend, or discontinue any Meta Park feature at any time
• Business meetings and events held in virtual environments are not legally binding unless documented through separate agreements

6. Prohibited Conduct

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation
• Transmit any unsolicited commercial communications (spam)
• Introduce malware, viruses, or malicious code into our systems
• Attempt to gain unauthorised access to our systems, servers, or databases
• Impersonate any person or entity or misrepresent your affiliation
• Harvest or collect user data without authorisation
• Post or transmit harmful, defamatory, obscene, or illegal content

7. Intellectual Property

All content, trademarks, logos (including the Metavault and Quick Off brands), software, and technology within the Services are the intellectual property of Metavault Blockchain Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for your personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Services without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Metavault Blockchain Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• Your use of or inability to use the Services
• Unauthorised access to or alteration of your data
• Actions of third-party service providers accessed through Quick Off
• Service interruptions, technical errors, or system downtime

Our total aggregate liability to you shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Metavault Blockchain Ltd and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, for any breach of these Terms, regulatory requirements, or at our discretion. Upon termination, your right to use the Services immediately ceases. We will handle your data in accordance with our Privacy Policy following termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ras al Khaimah, UAE. Before initiating any formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at director@metavaultpay.com.

12. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Metavault regarding the Services.
